City of Margaret, Alabama – Christmas Parade
This Hold Harmless and Indemnification Agreement (“Agreement”) is made and entered into on December 12, 2025, by and between the City of Margaret, Alabama, located at 825 Woodland Circle, Margaret, AL 35120 (“City”), and ________________________, serving as Person in Charge of Entry (“P.I.C.E.”) for participation in the 2025 Margaret Christmas Parade (“Event”). The City and P.I.C.E. are sometimes referred to individually as a “Party” and collectively as the “Parties.”
1. Purpose
P.I.C.E. desires to participate in and/or coordinate entry in the City of Margaret Christmas Parade. As a condition of such participation, the City requires that P.I.C.E. agree to indemnify and hold harmless the City to the fullest extent permitted under Alabama law.
2. Hold Harmless and Indemnification
To the fullest extent allowed by Alabama law, P.I.C.E. agrees to indemnify, defend, and hold harmless the City of Margaret, its elected officials, employees, volunteers, agents, representatives, and contractors, from and against any and all claims, damages, losses, liabilities, injuries, or causes of action:
- arising from the acts or omissions of P.I.C.E.,
- or arising from the acts or omissions of P.I.C.E.’s participants, helpers, volunteers, invitees, or representatives,
- in connection with participation in the 2025 Margaret Christmas Parade.
This indemnification includes reasonable attorney’s fees and costs, but shall not apply to claims arising solely from the negligence or wrongful conduct of the City.
3. Representation and Authority
P.I.C.E. represents and warrants that:
a. they are legally competent and authorized to enter this Agreement;
b. if signing on behalf of a group or organization, they have full authority to bind that entity;
c. all parade participants under their responsibility will comply with all City parade rules, safety requirements, staging instructions, and applicable laws.
4. Assumption of Risk
P.I.C.E. acknowledges that participation in a parade involves inherent risks, including but not limited to:
- movement of vehicles and floats;
- interaction with spectators;
- weather conditions;
- tripping hazards;
- animal or equipment behavior;
- general risks typical of public events.
P.I.C.E. voluntarily assumes all such risks for themselves and those under their direction during the Event.
5. No Mandatory Insurance
Insurance is not required, but the City strongly recommends that P.I.C.E., if representing a group or business, carry general liability insurance appropriate for parade participation.
6. Compliance With Law and Instructions
P.I.C.E. agrees to follow:
- all safety instructions issued by the City, fire department, or police department;
- all parade rules and procedures;
- all applicable federal, state, and local laws.
Failure to comply may result in removal from the Event.
7. Alabama Law; Venue
This Agreement shall be governed and interpreted exclusively under the laws of the State of Alabama.
Any legal action arising out of this Agreement shall be brought exclusively in the courts of St. Clair County, Alabama.
8. Severability
If any provision of this Agreement is found invalid, the remaining provisions shall remain in full force. Any unenforceable provision shall be modified by the court only to the extent necessary to make it enforceable under Alabama law.
9. Entire Agreement
This Agreement constitutes the entire understanding between the Parties regarding the subject matter and supersedes all prior oral or written statements relating to the 2025 Margaret Christmas Parade.
10. Sovereign Immunity
Nothing in this Agreement shall be construed as a waiver of the City’s statutory immunities, limitations of liability, or protections under Alabama law.
